1. Agreement to Terms
These Terms of Service (“Terms,” “Agreement”) constitute a legally binding contract between you (“User,” “you,” or “your”) and Tubiversity, Inc. (“Tubiversity,” “we,” “us,” or “our”), governing your access to and use of the Tubiversity websites, applications, application programming interfaces (“APIs”), and all associated services, features, content, and functionality (collectively, the “Services”).
BY ACCESSING, REGISTERING FOR, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
If you are using the Services on behalf of an entity, organization, or other legal person, you represent and warrant that you have the authority to bind such entity to these Terms, and all references to “you” herein shall refer to such entity.
2. Eligibility and Account Registration
You must be at least thirteen (13) years of age to use the Services. By creating an account, you represent and warrant that: (i) all registration information you submit is truthful, accurate, current, and complete; (ii) you will maintain the accuracy of such information and promptly update it as necessary; and (iii) your use of the Services does not violate any applicable law or regulation.
You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. Tubiversity shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
3. Description of Services
Tubiversity provides an AI-powered learning operating system that transforms user-specified topics into structured educational curricula by aggregating and organizing publicly available metadata and content from third-party platforms, principally YouTube. The Services include, without limitation: curriculum generation, lesson structuring, progress tracking, user dashboards, search functionality, and related analytics.
You acknowledge and agree that Tubiversity does not host, store, reproduce, transmit, or redistribute video, audio, or other multimedia files. All video content is streamed directly from YouTube or other third-party platforms in accordance with their respective terms of service and embedding policies. Tubiversity acts solely as an index, aggregator, and organizer of publicly available metadata.
4. Intellectual Property Rights
4.1 Tubiversity Property
All software, algorithms, code, designs, graphics, logos, trademarks, trade dress, text, curricula structures, lesson organization schemas, database architectures, and other materials provided by Tubiversity (collectively, “Tubiversity Content”) are the exclusive property of Tubiversity, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
4.2 License Grant
Subject to your strict compliance with these Terms, Tubiversity grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial, educational purposes.
4.3 Restrictions
You agree not to, and shall not permit any third party to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services; (ii) copy, modify, translate, or create derivative works based on the Services; (iii) circumvent, disable, or interfere with security-related features; (iv) use automated systems (including “bots,” “scrapers,” or “spiders”) to access the Services; (v) resell, sublicense, lease, lend, or commercially exploit the Services without express written consent; (vi) remove, alter, or obscure any proprietary notices; or (vii) use the Services for any unlawful, harmful, or fraudulent purpose.
5. User-Generated Content and Conduct
You retain ownership of any text, queries, notes, or other materials you submit through the Services (“User Content”). By submitting User Content, you grant Tubiversity a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating, improving, and promoting the Services.
You represent and warrant that your User Content: (a) does not infringe, violate, or misappropriate any third-party intellectual property, privacy, publicity, or other rights; (b) does not contain defamatory, obscene, abusive, hateful, harassing, or otherwise objectionable material; (c) does not violate any applicable law or regulation; and (d) does not introduce viruses, malware, or other harmful code.
We reserve the right, but not the obligation, to monitor, review, and remove User Content at our sole discretion, with or without notice.
6. Third-Party Content and Disclaimers
The Services rely on third-party content and APIs, including but not limited to the YouTube Data API and embedded YouTube video players. We do not control, endorse, or assume responsibility for the accuracy, completeness, legality, or availability of any third-party content. All third-party content is subject to the terms and policies of the respective content providers.
YOUR USE OF THIRD-PARTY CONTENT IS AT YOUR OWN RISK. TUBIVERSITY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THIRD-PARTY CONTENT, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. AI-Generated Content Disclaimer
The Services utilize artificial intelligence and machine learning systems to generate curricula, summaries, lesson plans, and related educational content (“AI Content”). AI Content is generated algorithmically based on publicly available data and may contain errors, omissions, inaccuracies, or outdated information.
AI Content is provided for informational and educational purposes only and does not constitute professional, legal, medical, financial, or other specialized advice. You should independently verify any critical information before relying upon it. Tubiversity does not guarantee the accuracy, reliability, or completeness of AI Content and shall not be liable for any decisions or actions taken in reliance upon such content.
8. Payment, Subscriptions, and Refunds
As of the Effective Date, the core Services are offered without charge. In the event that paid features, subscriptions, or premium tiers are introduced, such terms shall be governed by separate payment terms presented at the point of purchase, which shall be incorporated herein by reference. All fees are non-refundable except as required by applicable law or as expressly stated in the applicable payment terms.
9. Termination and Suspension
9.1 Termination by You
You may terminate your account at any time by following the account deletion procedures within the Services or by contacting us at [email protected]?subject=Tubiversity%20Support%20Inquiry. Upon termination, your right to use the Services will immediately cease, and we may delete or archive your data in accordance with our Privacy Policy.
9.2 Termination by Tubiversity
We reserve the right, in our sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Services, with or without cause, including but not limited to: (i) violation of these Terms; (ii) suspected fraudulent, abusive, or illegal activity; (iii) prolonged inactivity; (iv) requests by law enforcement or other government agencies; or (v) discontinuation or material modification of the Services.
10. Disclaimers and Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TUBIVERSITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TUBIVERSITY DOES NOT WARRANT THAT: (I) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (II) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (III) ANY ERRORS IN THE SERVICES WILL BE CORRECTED; OR (IV) THE SERVICES WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TUBIVERSITY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO: (I) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT TUBIVERSITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TUBIVERSITY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS (US $100.00); OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO TUBIVERSITY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF YOUR REMEDIES FAIL THEIR ESSENTIAL PURPOSE.
11. Indemnification
You agree to indemnify, defend, and hold harmless Tubiversity, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms or any applicable law; or (iv) your violation of any rights of a third party.
12. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, termination, or validity thereof, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted in the English language in Wilmington, Delaware, or, at your election, via secure videoconference. The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may bring an action in a court of competent jurisdiction solely for injunctive relief to prevent irreparable harm pending the resolution of arbitration. YOU AGREE THAT ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
13. Modifications to the Terms
We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. Material changes will be communicated via email or a prominent notice on the Services at least thirty (30) days before the effective date. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.
14. General Provisions
- Severability: If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
- Waiver: No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced. No failure or delay by either party in exercising any right shall operate as a waiver thereof.
- Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without Tubiversity’s prior written consent. Tubiversity may assign these Terms without restriction.
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies expressly referenced herein, constitute the entire agreement between you and Tubiversity concerning the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
- Force Majeure: Tubiversity shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, embargoes, government orders, pandemics, or failures of telecommunications or internet service providers.
